Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stock-Nest platform, including the marketing website at stock-nest.com and the application at manage.stock-nest.com (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About Stock-Nest

Stock-Nest is a cloud-based Business Management System (BMS) and Point of Sale (POS) platform built for wholesalers, distributors, and retailers primarily operating in Uganda and across Africa. The Service allows business owners to:

  • Manage inventory, including break-bulk product splitting and stock level alerts
  • Record sales transactions and generate automated daily sales reports
  • Track customer debts and manage a financial ledger (credit book)
  • Analyse business profit and cost of goods using FIFO (First-In, First-Out) accounting
  • Manage staff with role-based access (Admin, Manager, Cashier / Employee)
  • Manage multiple businesses or branch locations under one account
  • Receive real-time in-app notifications for important business events

2. Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of Uganda to use the Service. By creating an account, you represent that you meet these requirements.

When you register, you agree to provide accurate and complete information, including your name, email address, and business details. You are responsible for keeping this information current.

3. Account Security and Role Management

You are the Admin of your Stock-Nest account and are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • Managing the permissions granted to Manager and Cashier / Employee roles you add to your account
  • All activity that occurs under your account, including actions taken by staff members you have added

You must notify us immediately at support@stock-nest.com if you suspect unauthorised access to your account. Stock-Nest cannot be held liable for inventory discrepancies, incorrect sales records, or data loss caused by shared passwords, weak credentials, or staff misuse.

4. Subscription Plans

Stock-Nest offers the following subscription tiers:

4.1 Starter Plan (Free)

  • Cost: Free, indefinitely
  • 1 business, single user (Admin only)
  • Up to 50 inventory items
  • Basic daily sales report
  • No break-bulk automation, financial ledger, or profit analytics

4.2 Pro Plan

  • Cost: UGX 50,000 per calendar month, billed monthly in advance
  • Unlimited inventory items
  • Three staff roles (Admin, Manager, Cashier / Employee) with role-based access control
  • Smart break-bulk automation (split bulk units into smaller units)
  • Full financial ledger and customer debt tracking
  • Deep profit analytics using FIFO accounting
  • Automated daily reports and PDF export
  • Multiple businesses or branch locations under one account
  • Real-time in-app notifications

4.3 Enterprise Plan

  • Cost: Custom — contact our sales team for a quote
  • Everything in the Pro plan
  • Multiple branches and unlimited staff accounts
  • Dedicated onboarding and training
  • Priority support with Service Level Agreement (SLA)
  • Custom integrations and API access

Plan features and pricing are subject to change. We will provide at least 30 days' notice of any price changes to existing subscribers.

5. Free Trial

New users may access the Pro plan features free of charge for a 14-day trial period without providing any payment details. At the end of the trial, your account will automatically revert to the Starter (Free) plan unless you choose to subscribe to Pro. No charges are applied automatically at the end of a free trial.

6. Payment Processing

All subscription payments are processed through Pesapal Limited, a licensed payment service provider with established operations across East Africa including Uganda. The following payment methods are supported:

  • MTN Mobile Money (Uganda)
  • Airtel Money (Uganda)
  • Recognised debit and credit cards (Visa, Mastercard)

By initiating a subscription payment you agree to Pesapal's payment terms and authorise Pesapal to charge the agreed subscription amount to your selected payment method. Stock-Nest does not store your mobile money PIN, card number, CVV, or any sensitive payment credentials. We receive only a transaction reference and payment status from Pesapal.

7. Billing and Auto-Renewal

Pro subscriptions are billed monthly in advance. Your billing cycle begins on the date you first subscribe and renews on the same date each calendar month.

If you do not cancel before the renewal date, your subscription will automatically renew for another monthly period and the applicable fee (UGX 50,000) will be charged to your payment method on file via Pesapal. You will receive a reminder notification inside the application and by email at least 3 days before each renewal date.

8. Cancellation

You may cancel your Pro subscription at any time from within your account settings. Cancellation takes effect at the end of your current paid billing period. You will retain full access to Pro features until that date. After the period ends, your account will be downgraded to the Starter (Free) plan — your data will be preserved and you may re-subscribe at any time.

There are no cancellation penalties, lock-in contracts, or early termination fees.

9. Refund Policy

9.1 Standard Refunds

Because Stock-Nest is a subscription-based software service and plan features are available immediately upon payment, subscription fees are generally non-refundable once a billing period has started. However, we offer the following exceptions:

  • First payment — 7-day refund window: If you are a new paying subscriber and are not satisfied with the Service, you may request a full refund within 7 calendar days of your first payment. No questions asked.
  • Service outage refund: If Stock-Nest experiences verified downtime exceeding 48 consecutive hours in a given billing month and it is attributable to our infrastructure, we will issue a pro-rated credit or refund for the affected period on request.
  • Duplicate charge: If you are charged more than once for the same billing period due to a payment processing error, we will refund the duplicate charge in full.
  • Unauthorised charge: If a charge occurred without your authorisation due to a security breach or error on our part, we will investigate and issue a full refund if confirmed.

9.2 How to Request a Refund

To request a refund, contact us within the applicable time window:

Refunds are processed back to the original payment method through Pesapal. Processing time is typically 3–7 business days depending on your mobile money network or card issuer.

9.3 Chargebacks

If you initiate a chargeback with your bank or mobile money provider without first contacting us, we reserve the right to suspend your account pending investigation. We encourage you to contact us directly to resolve any billing disputes — we are committed to resolving issues fairly and promptly.

10. Failed Payments and Account Suspension

If a scheduled renewal payment fails (e.g. insufficient mobile money balance or an expired card), we will:

  1. Notify you immediately via in-app notification and email with instructions to update your payment method.
  2. Grant a 7-day grace period during which your Pro features remain accessible while you resolve the payment issue.
  3. After the grace period, your account will be automatically downgraded to the Starter (Free) plan. Your data — including all inventory, sales history, and ledger records — is safely preserved and will be fully restored when you successfully renew your subscription.

We will never delete your data due to a payment failure. Data is only deleted upon your explicit request or 30 days after account closure (see Privacy Policy §8).

11. Data Ownership and Export

You retain full ownership of all data you input into Stock-Nest. This includes your inventory lists, sales records, customer ledger, staff accounts, and business configuration. Stock-Nest does not claim any intellectual property rights over your business data.

You may export your data at any time in PDF or spreadsheet format from within the dashboard. We will provide a data export on request even if your subscription has lapsed.

12. Acceptable Use

You agree not to use the Service to:

  • Record false inventory or sales data for the purpose of fraud or tax evasion
  • Add personal data of individuals without their knowledge or consent (e.g. customer ledger entries)
  • Attempt to reverse engineer, decompile, or extract the source code of the Stock-Nest application
  • Use automated bots or scripts to scrape data from the Service
  • Attempt to gain unauthorised access to another user's account or our infrastructure
  • Resell or sublicense access to the Service without our written permission
  • Violate any applicable Ugandan law or regulation, including the Computer Misuse Act, 2011

Violation of the acceptable use policy may result in immediate account suspension or termination without refund.

13. Intellectual Property

All elements of the Stock-Nest platform — including but not limited to the software, design, user interface, branding, logos, trademarks, and documentation — are owned by Stock-Nest and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.

14. Service Availability

We strive to maintain a target uptime of 99.9% measured on a monthly basis. Stock-Nest is a web-based platform that requires a stable internet connection (a mobile hotspot is sufficient for most operations). Planned maintenance windows will be communicated at least 24 hours in advance.

We are not liable for downtime caused by third-party infrastructure (Cloudflare, Render, MongoDB Atlas, Firebase) or events outside our reasonable control, including natural disasters, power outages, or telecom disruptions.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available." Stock-Nest makes no warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, beyond what is explicitly stated in these Terms. We do not warrant that the Service will be error-free, uninterrupted, or that any data will be retained indefinitely.

16. Limitation of Liability

To the maximum extent permitted by the laws of Uganda, Stock-Nest's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees you paid to us in the 3 calendar months immediately preceding the claim.

Stock-Nest shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, even if we have been advised of the possibility of such damages. This limitation does not apply to liability arising from our fraud, wilful misconduct, or gross negligence.

17. Termination

17.1 By You

You may close your account at any time by contacting us at support@stock-nest.com. Cancellation of your subscription is covered in Section 8. Upon account closure, your data will be retained for 30 days and then permanently deleted per our Privacy Policy.

17.2 By Stock-Nest

We reserve the right to suspend or terminate your account immediately if you materially violate these Terms, particularly the acceptable use provisions in Section 12. For non-material breaches, we will provide written notice and a 14-day cure period before taking action. If we terminate your account other than for cause, we will issue a pro-rated refund of any unused subscription period.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email and an in-app notice at least 14 days before the change takes effect. If you continue using the Service after the effective date, you are deemed to have accepted the updated Terms. If you disagree with a change, you may cancel your subscription before it takes effect.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, including the Electronic Transactions Act, 2011, the Computer Misuse Act, 2011, and the Data Protection and Privacy Act, 2019.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of competent jurisdiction in Kampala, Uganda.
